JOB SUMMARY

The Senior Director Transactional Counsel executes and manages the delivery of transactional legal services across the company. This position is responsible for ensuring legal compliance with contractual compliance controls, and coordinating with internal and external attorneys, as needed to ensure timely and satisfactory delivery of transactional deliverables.

Primary areas of legal responsibilities include leasing and real estate, commercial contracts, consumer product agreements, real estate and contracts litigation, and management of outside counsel where needed.

ESSENTIAL DUTIES & RESPONSIBILTIES Estimated % of Time Spent

Real Estate Function:

  • Provide strategic and legal support for all real estate matters related to new and existing 24 Hour Fitness club locations throughout the United States.

  • Negotiate and draft leases, amendments, and other ancillary agreements to support the real estate function.

  • Provide counsel to property management, facilities management, and construction teams and, as applicable, senior management, with respect to real estate matters.

  • Draft and respond to notice letters and related correspondence; negotiate with Landlord counsel and business representatives to affect practical, timely and efficient dispute resolution in a cost-effective manner.

  • Manage litigation of real estate matters as needed.

  • Engage and manage outside counsel or internal business partners as needed.

  • Act as strategic business partner for implementation of broad range of Real Estate initiatives. 40%

Commercial Contracting Function:

  • Provide strategic and legal support for all commercial contracting matters related to new and existing vendor relationships.

  • Negotiate and draft vendor contracts, amendments, and other ancillary agreements to support the commercial contracting function.

  • Provide counsel to all of the Company's departments and, as applicable, senior leadership, with respect to commercial contract matters.

  • Draft and respond to notice letters and related correspondence; negotiate with vendors, counsel and business representatives to affect practical, timely and efficient dispute resolution in a cost-effective manner.

  • Manage litigation of commercial contract matters as needed.

  • Engage and manage outside counsel or internal business partners as needed.

  • Act as strategic business partner for implementation of broad range of commercial contracting initiatives 45%

Consumer Products Function:

  • Partner with Senior Director Consumer Products and Compliance as legal counsel to:

o Provide strategic and legal support for all membership and other product agreements.

o Review and draft membership, product and other ancillary agreements to support the consumer product function.

o Provide advice to the Company's consumer product and pricing departments and, as applicable, senior management, with respect to consumer contract drafting and language. 15%

ORGANIZATION RELATIONSHIPS

Direct reports may be assigned as dictated by department structure and work demands. The Senior Director Transactional Counsel works closely with others within the legal department, , as well as with others in the company, outside attorneys and outside vendors.

REQUIRED QUALIFICATIONS

Knowledge, Skills & Abilities

  • Possess a broad knowledge of real estate law, with an emphasis on retail leasing.

  • Possess broad knowledge and diverse experience in commercial contracts.

  • An excellent drafter and negotiator with confidence, a high level of emotional intelligence, a practical business sense and the ability to work both independently and in a group setting.

  • Proven ability to successfully interact with a broad range of audiences and at all levels of the organization, from senior leadership to department peers, other company functions, and outside third parties.

  • Excellent communication and technical skills.

  • Strong project management skills with the proven ability to provide a clear picture and timing of desired results.

  • Strong organizational skills and attention to detail with ability to juggle multiple projects simultaneously to meet different deadlines.

  • Ability to manage in-house and outside counsel relationships in a cost-effective manner.

  • Must be proficient in MS Word, Outlook, PowerPoint, Excel and other business software.

Minimum Educational Level/Certifications

  • Strong academic credentials and law degree from an ABA accredited law school.

  • State Bar license active and in good standing.

Minimum Work Experience and Qualifications

  • 5-7 years of legal experience in a law firm or in house legal department, with at least 3 years in-house experience.

  • 10 years with managing teams and processes in legal environment.

  • 5 years of experience drafting and negotiating contracts.

Physical Demands/ Environmental Conditions

  • Work is performed remotely and/or in a standard office environment without unpleasant or hazardous conditions. Work entails typical physical demands involved in office work.

  • Regularly required to work standard office equipment (personal computer, copy machine, fax machine, etc.).

  • Ability to work on a computer up to 7 hours a day.

  • Regularly required to sit for long periods of time, and occasionally stand and walk.

  • Occasionally required to stoop, kneel, climb and lift up to 20 lb.

Travel Requirement

  • Must be able to travel as needed via car and/or plane up to 5% of the time.

Benefits Summary

There are eligibility requirements for each plan based on your position, hire and/or service date and your average hours worked. Benefit eligible team members may also accrue vacation hours. Compensation Summary

All Employees: Free Club Membership, Employee Assistance Program (EAP), Basic Group Live and AD&D Insurance ($10,000), and 401k Savings and Investment Plan.

Average of 30 hours or more per week: Medical/Dental/Vision Benefits, Paid Time Off, and Sickness Benefits (in addition to the above).

Washington State : Receive 40 hours of sick time on your first day of employment. After 6 months of employment, accrue 1 hour of sick time for every 30 hours worked, up to a maximum of 120 hours, inclusive of time carried over.

Actual offer may vary from posted hiring range based on location, work experience, and/or education.

Salary range will vary based on geography of the applicant. Pay Range for Los Angeles, Orange County and Seattle: $161,460.00-$217,983.00 (Exempt), $77.63-$104.80 (Non-Exempt) Pay Range for Bay Area (California) & New York City (incl. New Jersey): $168,480.00-$227,460.00 (Exempt), $81.00-$109.36 (Non-Exempt) Pay Range for San Diego & Carlsbad (California) and all other locations: $151,632.00-$204,714.00 (Exempt), $72.90-$98.42 (Non-Exempt)
